Terms & Conditions of Sale
An order placed with Stone Products Unlimited, Inc. ("Stone Products") is considered an offer to purchase, which Stone Products may accept or reject at its discretion. Stone Products' acceptance of an order, whether by written instrument or shipment of products, is binding only if made in accordance with these Terms and Conditions of Sale. Any automated response to an order does not constitute acceptance.
Acceptance
These Terms and Conditions apply to all quotations, offers, and purchase orders accepted by Stone Products. In the event of any conflict with terms and conditions provided by the buyer, Stone Products' Terms and Conditions govern. Stone Products' acceptance of a buyer's order is conditioned upon the buyer's acceptance of these Terms and Conditions, regardless of whether explicitly acknowledged. Any changes to these Terms must be agreed upon in writing by an officer of Stone Products.
Product and Prices
Stone Products' shipments are F.O.B. from its facility or affiliate's facility. Prices quoted are firm for 30 days unless otherwise stated, and Stone Products reserves the right to change prices and specifications without notice. Prices quoted include taxes unless a valid exemption or resale certificate is provided. All taxes and duties are the responsibility of the buyer. Stone Products' tiles are nominal sizes, including recommended joint allowances.
Credit*
All orders, shipments, and deliveries are subject to credit approval by Stone Products' Credit Department. Stone Products may decline shipments or impose additional terms as deemed appropriate. Stone Products reserves a security interest in products sold until full payment is received. Prepayment may be required at Stone Products' discretion, and overdue balances may result in withheld shipments. Buyer is responsible for reimbursing Stone Products for collection costs and expenses incurred.
Payment
Buyer must pay invoices in accordance with the credit terms provided on Stone Products' invoice. Stone Products retains a security interest in products until full payment is received. Various forms of payment are accepted, subject to Stone Products' discretion. Deposits are non-refundable. Disputed amounts must be reported immediately, with the undisputed portion remitted by the due date. Late payments may be subject to late fees.
Title and Delivery
Title and risk of loss pass to the buyer upon delivery. Delivery dates are estimates, and Stone Products is not liable for delays beyond its control. Order will be ready after 48 hours of approved order. Approved order needs confirmed ship date, payment or applicable terms, and confirmation of sales order. Stone Products may make deliveries in installments, and partial shipments do not relieve the buyer of its obligations. If products become unavailable, Stone Products may replace them at its discretion or notify the buyer for alternative arrangements.
Storage*
All materials fully paid must be picked up within 30 days. Materials not picked up after 30 days are subject to a storage fee of $25 per pallet/crate per week. After a total of 90 days, if the materials are still not picked up, we will refund the material with a 25% restocking fee.
Inspection and Acceptance
Products are deemed accepted upon delivery. Claims for damage, shortage, or errors must be reported within 3 days of the receipt of the product in order to file a claim. All issues must be properly documented on all related forms i.e. bill of lading, packing list, etc. and images should be taken at the time of receipt. Shade variations are inherent in all clay and natural stones products. Therefore, we assume no responsibility or liability for any labor or material claims due to any variation in shades of tiles. All merchandise is sold in "AS IS" condition and there are no warranties. Client is responsible for inspecting all materials prior to pick-up / receiving. Absolutely no claims will be accepted for any reason after material is installed. Installation constitutes complete acceptance of the product. Stone Products' liability is limited to accepting returns before installation and providing substitutes if necessary.
Online Imagery and Samples
Online imagery and samples serve as tools for product selection but may not fully represent the actual product. Physical samples may vary slightly, and buyers are encouraged to validate product suitability before purchase.
Returns and Cancellations
Returns must be made within 30 days from date of invoice, be in its original package, full box quantities, and match current shades. NO PARTIAL returns will be accepted. All returns are subject to 25% restocking charge. Buyer acknowledges that special order or non-stock product orders are non-cancelable and non-returnable. A Return Merchandise Authorization (RMA) form must be obtained from Customer Service. The RMA expires once the original date exceeds 30 days. All materials must be returned before then. Buyer is responsible for any return shipping cost. Cancellations of order after 30 Days will result in a 25% restocking fee.
Indemnification
Buyer is responsible for obtaining permits and inspections for product installation and agrees to indemnify Stone Products against any losses or damages resulting from improper installation or use of Stone Products' products.
Stone Products reserves the right to amend these Terms and Conditions at any time, with the amended terms applying to orders placed after the date of amendment.
